Terms of Service

The rules for working with us, written as plainly as we could. Month to month, no long contract, and you keep what you pay for.

Effective October 12, 2026. Last updated October 13, 2026.

The short version

  • Month to month. Cancel any time with written notice at least 48 hours before your next billing date.
  • You pay at the start of each month. A month that has started is not refunded.
  • You own your website, your content, and your accounts. When you leave, they stay with you.
  • Nobody can promise rankings, and we don't. We promise honest work and honest reports.
  • Ad spend is paid by you, straight to Google, Meta, or whoever runs the ads.
  • Our liability is limited to one month of fees.
  • Texas law applies, and disputes are handled in Denton County, Texas.

This summary is here to help you read the full text below. It does not replace it.

1.Who we are and what these terms cover

No Contract SEO is a business based in Carrollton, Texas ("No Contract SEO," "we," "us," or "our"). These Terms of Service ("Terms") cover our website at nocontract-seo.com and every service we provide to you ("you" or "client").

You accept these Terms when you do any of these things: sign or approve a proposal, pay an invoice, submit our onboarding form, give us access to your accounts, or ask us to start work. If you accept for a business, you confirm you have the authority to bind that business, and "you" means the business.

2.Your proposal and these terms

Each client gets a written proposal, quote, or email that lists the services, the monthly price, and the start date (the "Proposal"). The Proposal and these Terms together are the whole agreement between us. They replace anything said before that is not written in them.

If the Proposal and these Terms conflict, the Proposal wins on scope and price. These Terms win on everything else, unless the Proposal says in writing that it overrides a specific section.

3.The services

We do the work described in your Proposal. That can include SEO, AI search optimization, ad management, web design, hosting, and site maintenance. Anything not listed is outside the scope.

Before we do work outside the scope, we will tell you and quote it first. Extra work you approve is billed at the price we quoted, or at our hourly rate at the time if we quoted by the hour.

We choose the methods, tools, and schedule we use to do the work. We may use trusted helpers or subcontractors. If we do, we stay responsible for their work under these Terms.

4.No guarantees on results

Search engines, AI tools, and ad platforms are run by other companies. They change their rules and rankings all the time, without notice, and they don't tell anyone exactly how they work. Because of that:

  • We do not guarantee any ranking, position, traffic, number of calls or leads, sales, ad cost, return on ad spend, or mention in any AI answer.
  • Results we got for other clients, and numbers used in examples, are not a promise of your results.
  • Rankings can rise or fall because of things we don't control. These include algorithm updates, competitors, your site's history, your reviews, your host, and changes made by you or others.
  • Any estimate or forecast we give is our honest best guess, not a promise.

What we do promise is to do the work in your Proposal with care and skill, and to report on it honestly.

5.Month to month term

There is no long contract. Service runs one month at a time. It renews on its own each month on your billing date until you or we cancel under the Cancelling section.

6.Fees, billing, and payment

  • Billed in advance. Monthly fees are billed at the start of each month of service, on the billing date in your Proposal. Setup fees, project fees, and deposits are due before work starts unless the Proposal says otherwise.
  • Autopay. When you give us a card or bank account for automatic payment, you authorize us and our payment processor to charge it for each monthly fee, any extra work you approved, and any tax that applies, until you cancel. Please keep your payment details current.
  • Taxes. Prices do not include sales tax or other taxes. You pay any tax that applies to our services. In Texas, that can include sales tax on some digital and data processing services.
  • Late payment. If a payment is more than 7 days late, we may pause all work until it is paid. Paused time does not extend your month or lower your fee. Late balances may be charged interest of 1.5% per month, or the highest rate the law allows if that is lower.
  • Failed payments. A returned or declined payment may be charged a $30 fee, or the highest amount the law allows if that is lower.
  • Collections. If we have to send an unpaid balance to collections or to court, you agree to pay reasonable collection costs and attorney's fees, as far as the law allows.
  • Price changes. We may change our prices with at least 30 days' written notice. The new price starts with the first billing date after the notice period. If you don't want to pay the new price, you can cancel.
  • Billing questions and chargebacks. If you think a charge is wrong, tell us in writing within 30 days of the charge and we will work it out with you. Please contact us before you file a chargeback. Filing a chargeback for fees you owe breaks these Terms. If you do, we may pause service and collect the amount owed plus any chargeback fees we are charged.

7.Cancelling

  • You can cancel any time, for any reason. Give us written notice at least 48 hours before your next billing date. An email to us or a message through our contact form counts as written notice. If your notice arrives later than that, it takes effect at the end of the next billing period, and that next month is due.
  • We can cancel any time, for any reason, with written notice. If we cancel without cause partway through a month you paid for, we refund the unused part of that month, prorated by day. If we cancel because you broke these Terms, including by not paying, no refund is due.
  • No refunds. Fees for a month that has started are not refundable and are not prorated, even if you cancel partway through the month. Setup and project fees are not refundable once work on them has started.
  • Final balance. When service ends, all unpaid fees for work done and months started are due right away.

8.Ad accounts and ad spend

  • Ad accounts (such as Google Ads, Microsoft Ads, and Meta) are set up in your name and billed to your card. You pay ad spend straight to the platform. It is not part of our fee unless your Proposal says so.
  • You approve the budgets. We work to stay within the budget you approve, but platforms can spend over a daily budget under their own rules. We are not responsible for platform charges, overspending allowed by the platform, invalid or fraudulent clicks, platform billing errors, or credits a platform refuses to give.
  • Platforms can reject ads, limit them, or suspend accounts under their own policies. We will help you appeal, but we can't control the outcome and we are not liable for it.
  • You are responsible for the truth of your ads, offers, prices, and claims, and for following the laws and platform rules for your industry. This matters most in regulated fields like health care, law, finance, insurance, and real estate.

9.What we need from you

To do the work, you agree to:

  • give us accurate information, and the access, content, approvals, and answers we ask for, in a reasonable time;
  • have the rights to everything you give us, like logos, photos, text, reviews, and trademarks;
  • review the work we show you and tell us about problems;
  • keep your own backups of anything important to you;
  • follow the law in your business and in your marketing.

Delays on your side can delay results. They do not pause or reduce your monthly fee.

Content approval. We may send you pages, posts, ads, or other content to review. If you don't send changes or objections within 5 business days, we may treat the content as approved and publish it. You can ask us to change or remove published content at any time.

10.Your accounts and our access

  • You own your accounts. That includes your domain, hosting, website, Google Business Profile, Analytics, Search Console, ad accounts, and social pages. When we can, we ask for manager or user access instead of your password.
  • We use your access only to do the work you hired us for.
  • You can remove our access or change your passwords at any time. If that stops us from doing the work, the monthly fee still applies until you cancel.
  • Please turn on two factor login for your accounts. We protect the logins you give us. We are not responsible for access, changes, or losses caused by you, your staff, your other vendors, your host or platforms, or anyone who gets your login from a source other than us.
  • Don't send us medical records or other protected health information, card numbers, Social Security numbers, or similar sensitive personal data unless we ask for it in writing. We are not a HIPAA business associate unless we both sign a business associate agreement.

11.Who owns the work

  • Once you have paid for it in full, you own the final website content, pages, copy, images we made for you, and ad creative we delivered to you (the "Deliverables").
  • We keep ownership of our own tools, code, templates, processes, checklists, report formats, and know how, and anything we made before your project or apart from it. Where any of that is built into your Deliverables, you get a permanent license to use it as part of them, free of royalties.
  • Some parts come from other companies, like themes, plugins, fonts, stock photos, and software. Those are covered by their own licenses, and you agree to follow them. Some need a paid license in your name that continues after you leave.
  • We may use AI tools to help draft content or images. We review what we deliver. You should review it too, especially facts, prices, and claims about your business.
  • You give us permission to name your business, show your logo, and briefly describe our work for you in our portfolio and marketing. You can opt out at any time by telling us in writing.

12.When you leave

When service ends and your balance is paid, we will:

  • remove our access from your accounts, or leave that for you to do if you prefer;
  • hand back any logins we created for you, and move any account we set up for you into your name;
  • unlink your ad accounts from our manager account. Your ad accounts, their history, and their data stay with you;
  • give you copies of the Deliverables you paid for, in the format we have them in;
  • delete the account logins you gave us within 30 days.

We may hold the handover until all unpaid fees are paid. After service ends, we have no duty to keep, back up, or host anything for you unless we agree to in writing. Changes we made to your site stay on your site.

13.Hosting and outside services

If we host your site, or set up services from other companies (such as hosts, domain registrars, email, plugins, review tools, and form tools), those companies' terms also apply. We are not responsible for their outages, data loss, security problems, price changes, or policy changes. Hosting we provide is not a backup service unless your Proposal says so.

14.Keeping things private

We keep your private business information confidential and use it only to do your work. You do the same with our pricing, methods, and reports that are not public. This does not cover information that is already public, that either of us got legally from someone else, or that the law requires us to disclose. This section continues after service ends. How we handle personal information is explained in our Privacy Policy.

15.Disclaimer

EXCEPT FOR THE PROMISES WRITTEN IN THESE TERMS, OUR SERVICES, DELIVERABLES, AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE." AS FAR AS THE LAW ALLOWS, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We don't promise that any website, platform, or service will be free of errors, secure, or always available. Nothing we say or publish is legal, tax, financial, or medical advice.

16.Limit of liability

AS FAR AS THE LAW ALLOWS, NO CONTRACT SEO AND ITS OWNER ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST SALES, LOST DATA, LOST RANKINGS OR TRAFFIC, WASTED AD SPEND, OR HARM TO REPUTATION, EVEN IF WE WERE TOLD THEY MIGHT HAPPEN.

OUR TOTAL LIABILITY FOR ALL CLAIMS OF ANY KIND ABOUT OUR SERVICES, THESE TERMS, OR OUR WEBSITE, INCLUDING CLAIMS BASED ON OUR OWN NEGLIGENCE, IS LIMITED TO THE FEES YOU PAID US IN THE ONE MONTH BEFORE THE EVENT THAT CAUSED THE CLAIM.

These limits apply no matter what legal theory a claim is based on, and they are part of the price you pay. Without them, our fees would be much higher. They do not limit liability that the law does not allow to be limited, such as liability for fraud or intentional misconduct.

17.Your responsibility for claims

You agree to defend and hold harmless No Contract SEO and its owner against claims, losses, fines, and costs (including reasonable attorney's fees) that come from any of these: content, materials, or information you gave us; your products, services, prices, and the claims in your ads; your breaking these Terms or the law; or a platform suspension or legal claim caused by how you run your business.

18.Things outside our control

Neither of us is responsible for delays or failures caused by events outside reasonable control, like platform outages, algorithm changes, internet or power failures, natural disasters, illness, government action, or attacks by others. This does not excuse paying for services already provided.

19.Independent contractor

We are an independent contractor. Nothing in these Terms makes us your employee, partner, or agent, and we are not authorized to sign anything for you.

20.Disputes and Texas law

  • These Terms are governed by the laws of the State of Texas, without regard to its conflict of law rules.
  • If a problem comes up, tell us in writing and give us 30 days to try to fix it together before filing any claim.
  • Any lawsuit must be filed in the state or federal courts in Denton County, Texas, and we both agree to those courts. Either of us may use small claims court if the claim qualifies.
  • Claims must be brought individually, not as part of a class or group action.

JURY WAIVER: AS FAR AS THE LAW ALLOWS, YOU AND WE EACH GIVE UP THE RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE ABOUT THESE TERMS, OUR SERVICES, OR OUR WEBSITE.

21.Using our website

The information on our website is general information, not advice for your business. Please don't misuse the site. That means no spam through the forms, no attempts to break into or overload the site, and no copying of the site's content or design for your own use. Links to other websites are there for convenience, and we are not responsible for those sites.

22.Electronic notices and signatures

You agree that we can send notices, invoices, and agreements by email, and that approval by email, a typed name, a checked box, or an online form counts as your signature. Notices to you go to the email address we have on file. Notices to us go through our contact page or to the email address we use with you.

23.Changes to these terms

We may update these Terms. When we do, we will post the new version on this page with a new date. For current clients, we will email you at least 30 days before the changes take effect. If you keep using our services after that, the new Terms apply. If you don't agree, you can cancel before they take effect. Changes do not apply to a dispute that started before the change.

24.Other legal terms

  • If any part of these Terms can't be enforced, the rest stays in effect, and that part is enforced as far as the law allows.
  • Not enforcing a part of these Terms is not a waiver of it.
  • You can't transfer this agreement to someone else without our written okay. We can transfer it to a business that takes over our services, with notice to you.
  • Sections that by their nature should continue after service ends do continue. These include payment, ownership, keeping things private, the disclaimer, the limit of liability, your responsibility for claims, and disputes.
  • Headings and "the short version" at the top are there to help you read. They are not part of the Terms.
